Pinckney, Weidinger, Urban & Joyce LLC is a majority women-owned law firm representing individual, corporate and alternative entity clients, including partnerships, limited partnerships, limited liability companies and joint ventures in Delaware. The Firm handles state court corporate and commercial litigation in the Delaware Court of Chancery and Superior Court, and appeals to the Delaware Supreme Court. Our experience includes, among other things, actions related to: Officer and Director advancement and indemnification, Board of Director representation, contested elections, stockholder appraisals, books and record demands, breach of contract, breach of fiduciary duty, director and officer defense, corporate and alternative entity dissolution, employment, insurance, interpleader, mergers and acquisitions, trust, trade secrets and non-competes through trial and appeal. The Firm also has experience in arbitrating and mediating these same issues, both in Delaware and in ADR proceedings around the country.

We routinely handle expedited matters such as TRO’s, injunctions, and summary proceedings under the Delaware Corporate Code and their alternative entity counterparts. We regularly serve as lead counsel, or, collaboratively with firms nationwide, as Delaware local counsel.

In federal matters, the Firm is experienced in federal district court litigation, arbitration and mediation, including diversity cases involving business litigation and intellectual property litigation including patent infringement, trademark dilution and license disputes, etc. The Firm also serves as Delaware counsel for creditor matters in the United States Bankruptcy Court for the District of Delaware.
On the transactional side, the Firm routinely counsels Delaware entities and their constituent members on transactional, and often pre-litigation, resolutions to business disputes; and the Firm also has a third party opinion practice with regard to Delaware entities, most often used in securitization and other sophisticated commercial real estate transactions.
