Firm Bio

BurgherGray LLP is a certified minority-owned corporate boutique law firm comprised of highly experienced and diverse attorneys. Our partners and senior attorneys gained extensive experience practicing at large corporate law firms and in-house legal departments of large corporations and governmental agencies. At BurgherGray, we take a practical, flexible and goal-oriented approach to service. As business lawyers, we put a premium on understanding our clients’ businesses, including the various factors that drive their strategic decision-making, so that we can be in the best position to anticipate and serve their legal needs.

From our office in New York, New York BurgherGray counsels clients ranging from sophisticated start-ups to Fortune 100 companies on a range of complex business litigation matters and sophisticated business transactions. Our business transactional practice includes, without limitation, capital markets and finance (including structured finance and securitization and commercial and industrial lending), mergers and acquisitions, general corporate and commercial transactions, securities law compliance, real estate, intellectual property, bankruptcy and financial restructuring, and investment management (private investment funds), among other transactional matters. The Firm’s business litigation practice covers a wide spectrum of complex civil and commercial disputes, government investigations and regulatory enforcement matters, including (without limitation) securities law violations, breach of contract claims, insurance defense, consumer finance litigation, financial services litigation, and labor-employment disputes, in a variety of settings, including state courts, federal courts, administrative tribunals and arbitration proceedings. Our clients include, among others, community banks, commercial and investment banks, insurance companies and other financial
services companies, asset managers and investment advisors, technology companies, governmental entities, private investment funds, borrowers and investors.

Through our strategic alliances with a global and a regional law firm, we are able to leverage the collective experience and size of our alliance partner firms to function like a full-service firm in serving the needs of our clients on any given transaction. We leverage our partner firms for the benefit of our clients, including for specialized legal
support such a tax and ERISA. In so doing, we take great care to ensure that any execution is seamless to the clients involved.

BurgherGray attorneys are well experienced in managing the provision of legal services through multidisciplinary teams involving in-house resources and other law firms. Our transactional attorneys regularly work on matters requiring them to manage a multidisciplinary team of attorneys. For example, our finance and M&A transactions often require the involvement of attorneys from various specialty practice areas, including tax, ERISA, IP, securities law, anti-trust, regulatory expertise, among others. Our litigators often draw on the expertise of our transactional attorneys in complex
financing and securities transactions. With regard to other law firms, we are often required to retain, manage and otherwise work with local counsel in a variety of transactional and litigation contexts. Often, our clients may require us to work together with one or more of their other law firms toward a common goal.  Finally, as a small MBE firm, we are accustomed to co-counseling with larger firms, whether at the request of our clients or on our own initiative. The Firm has strategic relationships with a large bulge bracket corporate law frim and with a regional law firm, and we often collaborate with such firms on certain matters that either require specialty expertise or involve project scale that is beyond our organic capabilities. Based on the foregoing, we are quite adept at not just managing, but working within as required, multidisciplinary teams of attorneys within and outside of the Firm, and involving domestic as well as cross-border transactions.

BurgherGray provides a full range of corporate and commercial legal services with a heavy emphasis on capital markets and finance transaction. We take great pride in serving all clients, large and small, with the same enthusiasm and dedication. Industries in which we have counseled clients include financial services; oil and gas; consulting; automotive; information, communications and technology (including satellite communications); defense contracting, broadcast and media; pharmaceutical; manufacturing and distribution; entertainment and real estate. The Firm’s attorneys routinely advise boards of directors, senior executives, shareholders, members, and fund managers with respect to fiduciary duties and other corporate governance matters, compliance with federal securities laws and the corporate
governance requirements of NASDAQ, the New York Stock Exchange and state corporate laws.

The Firm is certified as a Minority-Owned Business Enterprise by the New York State Department of Economic Development, Division of Minority and Women’s Business Development and the New York City Department of Small Business Services and is certified as a Minority Business Enterprise by the National Minority Supplier
Development Council.
