- Technology Law, Licensing & Contract Review Programs
The firm reviews and negotiates a broad range of vendor agreements that includes technology, licensing, outsourcing, vendor, market data agreements and other commercial contracts that would traditionally be reviewed and negotiated by an in-house legal department. We are able to provide these reviews on a fully outsourced basis or in collaboration with your legal team. In order to efficiently and accurately provide a substantive review of these contracts, we develop a customized Playbook based on our client’s existing practices combined with our industry knowledge of best market practices.
The firm manages NDA workflows in a comprehensive fashion by providing an initial redline and subsequent counterparty negotiations on a same day turnaround basis. Some clients require a shorter turnaround and the firm is able to customize programs to ensure that NDAs are efficiently managed without disrupting the more sophisticated work covered by an in-house legal department.
The firm offers a full range of corporate real estate services including commercial and retail leases, financing contracts, loan documentation, preparation and negotiation, property management, landlord and tenant representation, shopping center leasing, restaurant franchise agreements and construction contracts.
The firm’s attorneys and compliance professionals conduct legal review of marketing materials and sales and training policies to ensure adherence to FTC, SEC and FINRA requirements, bank regulations, state law, GIPS standards, MSRB rules, privacy rules and trademark law. Our program includes the substantive review of all marketing materials including all client-facing materials such as pitches, presentations, proposals, RFPs, due diligence questionnaires, market overviews, white papers, client updates, fact sheets, conference materials and brochures to ensure adherence to SEC and FINRA requirements. In order to efficiently and accurately provide a substantive review we ask for a copy of your current Disclaimers Library which we can further develop in collaboration with your legal and compliance department. We also can develop an initial Disclaimers Library in connection with establishing a Marketing Material Review Program. As a critical part of the process, SRD Legal Group provides comments and adds legends and disclaimers to the extent necessary to address any regulatory concerns.

The firm provides representation in the services most often requested by private equity firms including engagement letters, fund consents, fund transfers, subscription agreements, side letters, and partnership agreements.
