What We Do.

Business Litigation.  Reyes Kurson has significant experience and a record of success in resolving a broad variety of commercial disputes.

  • Commercial Litigation, including claims of breach of fiduciary duty, consumer fraud, breach of contract and equitable claims, directors’ and officers’ liabilities, and property damage.
  • Business Torts, including claims of unfair trade practices, defamation (corporate), tortious interference with contract, business expectancy and opportunity, and fraud.
  • ADR, including proceedings before FINRA, JAMS, AAA and ADR Systems, and attendant confirmation proceedings.

FINRA/Broker-Dealer Litigation, Investigations and Counseling.  At any given time, Reyes Kurson has between 10-20 active FINRA arbitrations for our broker-dealer clients.

  • Customer and Industry Disputes, including claims for breach of fiduciary duty, suitability, fraud, negligent supervision, breach of employment contract/non-solicitation clause, U5 expungements with claims for defamation, wrongful termination, false light and/or tortious interference, and U4 expungements.
  • Investigations, from the first, often “informal” inquiry through any subsequent enforcement proceedings.
  • Compliance and “sanity checks” for in-house counsel concerning new regulations, priorities and recordkeeping.

Transactions.  Reyes Kurson assists clients in structuring, negotiating, documenting and closing a wide variety of transactions.  We also provide surge capacity to in-house attorneys.

  • Finance, including commercial lending, use of SPEs, corporate private placements, public finance (government and conduit bond issues, public offerings, private placements, and direct bank placements), and affordable housing.
  • Real Estate, including commercial leases, acquisitions and dispositions, real estate finance, and Illinois property tax.
  • Corporate, including entity formation and multi-entity reorganizations, asset acquisitions and dispositions, contracts, and due diligence.
